Since HHM paid for Kim’s tuition, she is probably required to work for them for a number of years, otherwise she has to pay them back, which in today’s $ could have been something like $150,000. It sounds like Richard offered to compensate her for that if she leaves to work for him. I think she is still torn bc she feels loyal to HHM for making her dream of becoming a lawyer possible, and specifically to Howard who was a mentor to her. She may also be worried that she would lose trust and respect of her colleagues and clients if she broke her agreement with them.
